This Financial Services Guide (FSG) is dated 23 rd December 2021 and replaces all previous versions. Enva New Zealand Pty Ltd [AFSL 424494] (hereafter known as Enva New Zealand) authorises the distribution of this FSG.

This Financial Services Guide (FSG) is an important document that contains important information to help you decide whether you wish to use our services. You should read it carefully and make sure you understand it, before you decide to use any of our services.

This FSG includes information about:

  • Who we are
  • How you can contact us
  • The financial services we are authorised to provide
  • Information we may need from you
  • The cost of our advisory services and how we are remunerated
  • What to do if you have a complaint about our services

All references in this Financial Services Guide (FSG) to ‘Kapitales’, ‘we’, ‘us’ or ‘our’ are references to Nextgen Global Services Pty Ltd trading as Kapitales Research (ABN 89 652 632 561).

As commissions on the sale of life risk insurance products and on share transactions may be received by Enva New Zealand Pty Ltd or our representatives we are deemed not to be independent.

We have a combined research experience of over 30 years along with understanding of the local market and obligations under the New Zealandn Financial Services Licensing regime. We are fully regulated and authorised to offer general financial advice in the form of securities recommendations like Buy, Sell, Hold, Avoid and Watch. Kapitales Research is your Advisor and is a Corporate Authorised Representative No. 1293674 of Enva New Zealand Pty Ltd (AFSL 424494).

As the Licensee, Enva New Zealand is responsible for the advice you receive from us. If your Advisor is unable or unwilling to provide you with advice or services in respect of certain products, the Advisor will refer you to Enva New Zealand, who should be able to assist you.

All of our commentary, statements of opinion and recommendations in relation to financial products, whether in our publications or otherwise, will only contain general advice. That is, those statements of opinion and recommendations have been prepared without taking into account your personal objectives, financial situation or needs. You should always consider the appropriateness of any general advice in our publications, having regard to your individual and financial circumstances before you act on the general advice.

You should consider seeking the advice of relevant taxation, superannuation, and/or other relevant Advisors before the information is acted on.
We will not provide advice on classes of financial products other than those identified in Kapitales authorisations through our Licensee, Enva New Zealand.

To obtain such documents you would need to contact the issuer of the relevant financial product or a distributor of the product.
Except for this FSG, you will not receive any other documents from Kapitales Research. Kapitales Research will not provide a Statement of Advice, as it does not give personal financial product advice.

INFORMATION WE NEED FROM YOU

We expect that you will provide us with accurate information that we request so that we have a reasonable basis on which to provide you with general advice.
We expect that you will use our advice to enable you to make informed financial decisions.
You are of course at liberty to decline to provide some or all of this information, but in certain cases, your failure to provide information may place us in a position where we cannot provide any advice or any financial services to you.

AML/CTF

As a financial service provider, Enva New Zealand has an obligation under the Anti-Money Laundering and Counter Terrorism Finance Act to verify your identity and the source of any funds. This means that should you wish to invest funds in share trading with a Enva New Zealand Advisor, Enva New Zealand will ask you to present identification documents such as passports and drivers licence. We assure you that this information will be held as per Enva New Zealand's Privacy Policy.

HOW ARE WE PAID FOR OUR SERVICES?

Services Kapitales charges its clients subscription fees for the reports it provides listed on the Subscribe section of its website https://www.kapitales.co.nz/subscribe Subscription fees are due in advance and unless otherwise specified in the product’s terms of service, are non-refundable. Fees and charges will be fully disclosed to you for your approval prior to Kapitales providing any service to you.

On-line publications publications Our free articles and videos are available free of charge on our website. They may also be available on the websites of third parties that have licensed our content.

Special Free Reports On occasion, we may offer special free reports to individuals who click on one of our adverts and provide us with a valid email address.

Employee Remuneration

Kapitales does not receive any other fees, commissions or benefits for the services it provides. Employees of Kapitales who prepare research and provide general advice are remunerated by salary. They may also be entitled to a bonus based on the financial performance of Kapitales. Kapitales accepts submissions from freelance contributors who are paid a flat fee per article.

WHAT RELATIONSHIPS OR ASSOCIATIONS DO WE HAVE THAT MIGHT INFLUENCE OUR ADVICE?

Kapitales Research and its associated entities, and their respective directors, associates, connected parties and/or employees may from time to time deal in or otherwise have a financial interest in equities and other financial products referred to in its publications or other general financial advice it provides. Any individual who provides advice on behalf of Kapitales or contributes articles to our website must disclose if they have a financial interest or position in any share mentioned or discussed. Similarly, it will be disclosed to you if Kapitales has a beneficial interest or position in any share mentioned or discussed. You should review any disclosures made in particular publications as to interests Kapitales and its representatives may have in the financial products referred to in the publication.

All employees of Kapitales including those who prepare research and other advice are subject to a code of conduct and rules for their personal trading activities. Our major trading rules are:

Employees cannot trade based on advance knowledge of information that will be published or broadcast by any member of Kapitales Research;

Employees must first pre clear their trades and then report their transactions to our compliance department within 24 hours of executing a transaction.

Freelance contributors must agree to similar disclosure and trading rules.

Neither Kapitales Research nor Enva New Zealand are owned by any Fund Manager or institution.

WHAT SHOULD YOU DO IF YOU HAVE A COMPLAINT?

Kapitales Research is committed to fair and transparent dealings with its clients. We have established complaints handling procedures to ensure that all enquiries and complaints are properly considered and dealt with.

If you have any complaint about the service provided to you, you should take the following steps;

    Your complaint may be submitted by letter, telephone, email, or in person to a member of staff. We will acknowledge receipt of your complaint in writing within 24 hours (one business day) or as soon as practicable. At this time we will try to give you an indication of the expected time frame to resolve the complaint.

    You have a right to seek resolution through the external dispute scheme if the complaint cannot be resolved within 30 days. The external dispute scheme is conducted by the New Zealandn Financial Complaints Authority (AFCA), of which Enva New Zealand is a member.     The New Zealandn Securities and Investments Commission, (ASIC), also has a free call info line on 1300 300 630 which you may use to make a complaint or obtain information about your rights.

    PROFESSIONAL INDEMNITY INSURANCE

    Kapitales confirms that arrangements are in place both through Kapitales Research and Enva New Zealand to ensure that it continues to maintain Professional Indemnity Insurance in accordance with Section 912B of the Corporations Act 2001, (as amended). In particular the Professional Indemnity Insurance, subject to its terms and conditions, provides indemnity up to the sum insured for the license and its authorised representatives in respect of our authorisations and obligations under the New Zealandn Financial Services License (418504). The insurance will continue to provide such coverage for any Authorised Representatives – Responsible Managers – Directors – Employees who have ceased for work done whilst engaged with Enva New Zealand.

    What Information Do You Maintain in My File And Can I Examine My File?

    We and our licensee Enva New Zealand need to hold all information you give us for a period of 7 years, and you can view information held by making a request.
